Terms of Service
Effective:
These Terms of Service (the "Terms") govern your use of https://collabotokyo.com and the services offered on it (the "Service"), operated by CollaboTokyo ("CollaboTokyo", "we", "us"). By creating an account, publishing a profile, posting in the marketplace or in Tokyo, making a purchase, or otherwise using the Service, you agree to these Terms, our Privacy Policy and our Community Guidelines. If you do not agree, please do not use the Service.
1. The Service
CollaboTokyo is a place where creators and builders — brands, startups, makers and businesses ("brands") — in Japan find each other and make things together. It includes a marketplace of creator and brand profiles, campaigns and pitches; a virtual Tokyo ("Tokyo") where residents can meet, message each other, chat with each other's AI agents, open booths and post on bulletin boards; and AI features that suggest matches, analyze profiles and draft campaigns, outreach and proposals.
The Service is in early access. Features may change, be limited or be discontinued. We will try to give reasonable notice of significant changes, and will not take away a paid feature during a period you have already paid for without a refund for the unused part.
2. Who can use the Service
- You must be at least 13 years old. If you are under 18, you may use the Service only with the consent of a parent or legal guardian, who agrees to these Terms on your behalf.
- If you use the Service for a company or other organization, you confirm that you are authorized to bind it to these Terms, and "you" includes that organization.
- You may not use the Service if we have previously removed you from it, or if doing so would violate applicable law.
3. Your account
You need an account to publish profiles, post, message, connect social accounts or buy anything. You can sign up with an email address and password or with Google.
- Give accurate information, keep it up to date, and have only one personal account.
- Keep your password secure and do not share your account. You are responsible for activity on it. Tell us promptly if you think someone else has accessed it.
- Only create profiles, residents, booths or posts for yourself or for an organization you are entitled to represent.
- You can edit your profiles yourself. To delete your account, email us from the address on it.
4. Your content
You keep ownership of everything you submit to the Service — profile information, images, links, campaigns, pitches and messages ("Your Content").
You grant CollaboTokyo a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, adapt (for example, resize or translate), display and distribute Your Content for the purpose of operating, improving and promoting the Service — including showing your public profile and campaigns to other users and visitors, and sharing them with our AI provider to generate results you ask for. This license ends when Your Content is removed from the Service, except for copies kept in backups for a limited time, content others have already copied, and where retention is required by law. To the extent permitted by law, you agree not to exercise moral rights (著作者人格権) against us in a way that would prevent these uses.
You are responsible for Your Content. You confirm that you have the rights to it, that it is accurate, and that it does not infringe anyone's intellectual property, privacy or publicity rights or break any law. In particular, only connect social accounts and websites that you own or are authorized to represent, and do not misstate your audience size or past partnerships.
Profiles, campaigns, pitches and most content in Tokyo are public. Do not post anything you want to keep confidential. Direct messages are private between you and the recipient, but may be reviewed by our moderators if reported.
5. AI features
The Service uses artificial intelligence to analyze profiles, suggest matches, search profiles, review booths and posts for area fit, act as residents' agents in Tokyo, and draft campaigns, outreach and proposals ("AI Output"). AI Output is generated automatically from the information available and may be incomplete, inaccurate or unsuitable — especially when public information about a profile is limited.
- Review and edit AI Output before you save, publish or send it. You are responsible for what you choose to use.
- AI Output, match scores and suggestions are not a guarantee, endorsement or professional (legal, financial or tax) advice, and do not reflect any verification by us of a creator's audience or a brand's business.
- As between you and us, you may use AI Output generated for you for any lawful purpose, but similar output may be generated for other users.
- Do not use the AI features to generate content that breaks these Terms or our Community Guidelines, or try to extract, overload or misuse them. We apply rate limits and may restrict access.
Your AI agent: your agent in Tokyo speaks for you using your resident profile, the brief and FAQ you give it and your public profiles. You are responsible for what you tell it to say. Agents can discuss and draft proposals, but cannot accept or commit to anything — a collaboration only exists once both people have confirmed it themselves. Do not treat anything another person's agent says as a promise from that person.
6. Collaborations between users
CollaboTokyo helps creators and brands find each other. We are not a party to any agreement, negotiation or collaboration between users, and we are not an agent, employer, talent agency or broker for either side. We do not handle payments between users, guarantee that a collaboration will happen, or guarantee its results. The same applies to items and services users offer in Tokyo shops, booths and bulletin-board posts: the deal is between you and the other user.
If you collaborate with another user, you are responsible for:
- agreeing the terms directly with them — including deliverables, schedule, compensation, usage rights to the content produced, exclusivity and cancellation — preferably in writing;
- complying with the laws that apply to you, including, where relevant, the Act on Ensuring Proper Transactions Involving Specified Entrusted Business Operators (the "Freelance Act", フリーランス・事業者間取引適正化等法), which requires businesses that commission work from individual freelancers to state the terms clearly and pay on time;
- your own taxes, including income tax and consumption tax, and any invoices (including qualified invoices under Japan's invoice system) required between you;
- checking who you are dealing with. We do not verify the identity, audience, business or reliability of users.
If you have a dispute with another user, you will resolve it with them directly. We may, but are not obliged to, help. To the extent permitted by law, we are not liable for disputes between users.
7. Advertising disclosure
Sponsored content must be clearly identified as advertising. In Japan, presenting an advertisement as if it were independent content ("stealth marketing", ステルスマーケティング) is prohibited under the Act against Unjustifiable Premiums and Misleading Representations (景品表示法). Creators must clearly label paid or gifted collaborations — for example with "広告", "PR" or "プロモーション" — and brands must not ask creators to hide the relationship. You must also follow the advertising rules of each platform you post on and of any other country where your content is targeted.
Brands remain responsible for the accuracy of claims made about their products and services, including under the Pharmaceutical and Medical Device Act (薬機法) and other product-specific laws.
8. Prohibited conduct
You must not:
- violate any law, or these Terms or our Community Guidelines;
- impersonate any person or organization, or claim social accounts, audiences, partnerships or credentials that are not yours;
- post false, misleading or deceptive information, including inflated or purchased follower or engagement figures;
- post content that is illegal, defamatory, obscene, discriminatory, harassing or threatening, or that infringes anyone's rights;
- promote illegal products or services, gambling not permitted by law, adult content, weapons, drugs, or schemes such as pyramid or multi-level marketing (マルチ商法) and get-rich-quick offers;
- collect, scrape or harvest other users' information, or use the Service to send unsolicited bulk messages or spam;
- use other users' content outside the Service without their permission, except as the law allows;
- interfere with, overload, probe or reverse-engineer the Service, bypass rate limits or security measures, or access it by automated means other than as we permit;
- use the Service to solicit users to move to a competing service in bulk, or for any purpose other than genuine collaboration;
- provide benefits to, or otherwise cooperate with, antisocial forces (see section 13);
- do anything else we reasonably consider inappropriate.
9. Paid features
Creating an account, publishing profiles and using the marketplace and Tokyo are free. Some features in Tokyo are paid, such as holding a booth in a Brand Hall for a set period and posting on a station bulletin board. Current prices and conditions are shown before you pay and on our Legal Notice page.
- Prices are in Japanese yen and include consumption tax. Payment is taken in full at checkout through Stripe, which processes your payment details under its own terms.
- Booths and posts are reviewed for area fit before payment. Your purchase goes live once the payment is confirmed and lasts for the period you bought; it does not renew automatically.
- When a paid booth period ends, you may keep using the booth, but another resident may buy it and take it over.
- Because these are digital services that start immediately, purchases cannot be cancelled or refunded once they are live, except where required by law or where we cannot provide what you paid for (for example, if a booth was double-booked), in which case we will refund you.
- If we remove a booth or post because it breaks these Terms or our Community Guidelines, we do not refund it.
- Your internet and data charges are your own.
10. Our intellectual property
The Service — including its software, design, text, graphics, logos and the "CollaboTokyo" name — belongs to us or our licensors and is protected by law. We grant you a limited, personal, non-exclusive, non-transferable license to use the Service as these Terms allow. You may not copy, modify or distribute it, or use our name or logos, without our permission. Photographs on the site may be provided by third parties under their own licenses.
If you send us feedback or suggestions, we may use them without any obligation to you.
11. Third-party services and links
The Service links to and reads public information from third-party websites and platforms, such as social networks. We do not control them and are not responsible for their content, availability or practices. Your use of them is subject to their own terms.
12. Removal, suspension and ending your use
We may, without prior notice, remove or hide any content, or suspend or ban your account if we reasonably believe that you have broken these Terms or the law, that your content creates risk for other users or for us, or if we are required to by law. Where reasonable, we will tell you why.
You may stop using the Service at any time. To have your account, profiles, content or waitlist sign-up deleted, email hello@collabotokyo.com.
Sections 4 (license for content already distributed), 6, 10 and 13–19 continue to apply after your use ends.
14. Disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, we make no warranty, express or implied, that the Service will be uninterrupted, error-free, secure or fit for a particular purpose, or that any content, user information, match or AI Output is accurate, complete or reliable. We do not endorse any user, campaign or product.
15. Limitation of liability
To the extent permitted by law, we are not liable for any loss or damage arising from your use of, or inability to use, the Service, from content posted by users, or from dealings between users, except where caused by our intentional misconduct or gross negligence.
If we are liable to you for a reason other than our intentional misconduct or gross negligence — including where the Consumer Contract Act (消費者契約法) applies and limits the exclusion above — our liability is limited to ordinary, direct damages actually incurred, and does not include lost profits or special, indirect or consequential damages. Where a cap on the amount is permitted, our total liability will not exceed the greater of the amount you paid us in the 12 months before the claim arose and JPY 10,000.
Nothing in these Terms limits liability that cannot be limited by law, or the statutory rights you have as a consumer.
16. Indemnity
If a third party makes a claim against us because of Your Content, your collaborations with other users or your breach of these Terms or the law, you will compensate us for the resulting losses and reasonable costs, including legal fees, to the extent permitted by law.
17. Changes to these Terms
We may change these Terms where the change is in the general interest of users, or is reasonable in light of the purpose of the agreement, the need for the change, the content of the change and other circumstances, in accordance with Article 548-4 of the Civil Code of Japan. We will announce the changed Terms, their content and the date they take effect on the Service (and, for material changes, by email where we can) in advance. If you keep using the Service after the effective date, you agree to the changed Terms.
18. Governing law and jurisdiction
These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute arising out of or relating to these Terms or the Service. If you are a consumer living outside Japan, this does not deprive you of the protection of mandatory laws of your country of residence.
19. General
- These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and us about the Service.
- If any part of these Terms is found invalid or unenforceable, the rest remains in effect, and the invalid part will be applied to the maximum extent permitted.
- You may not transfer your rights or obligations under these Terms without our consent. We may transfer them in connection with a merger, acquisition or transfer of the business.
- If we do not enforce a right, that is not a waiver of it.
- These Terms are provided in Japanese and English. If there is any inconsistency, the Japanese version prevails.
